Terms Of Agreement

Chowbaby.com will design and host your Chowbaby.com website and include it in the Chowbaby.com search engine. Merchant authorizes Chowbaby.com to auction, sell, or trade restaurant/caterer credit to the public when the website goes online and whether or not all photography has been submitted. Merchant, as issuer of restaurant/caterer credit, agrees to honor all Chowbaby.com Gift Certificates presented to them pursuant to this agreement. Restaurant credit will be valid for a period of one (1) year from the date that such credit is sold by Chowbaby.com or for such longer period as may be required by applicable law and regulations.
The term of this Agreement is for one (1) year from the date the website goes online and shall be extended on an annual basis unless written notice is given 30 days prior to expiration. In the event of early termination by the Merchant or failure to honor the gift certificates, the Merchant agrees to pay an early termination fee equal to number of days left in the contract multiplied by the Chowbaby.com store price of the certificate which is $10.00. Plus the Chowbaby.com store price of any outstanding gift certificates. Payment will be made in cash.
Early termination or failure to honor a gift certificate presented to the Merchant will also terminate access to the Chowbaby.com search engine. Such amounts will be due and payable within fifteen days of mailing the invoice.
Merchant’s obligations under this section will survive the termination or expiration of this Agreement. This Agreement is fully assignable and transferable by Chowbaby.com and is binding on and enforceable by the parties, their successors, legal representatives, and assigns.
